ESDS Software Solution The AI Data Centre Stock Nobody Is Talking About?

ESDS Software Solution IPO analysis

Introduction

ESDS Software Solution Ltd is emerging as an interesting technology infrastructure story at a time when India’s demand for cloud computing, artificial intelligence, data centres and digital infrastructure is accelerating. The company is not a conventional IT services business. ESDS provides data centre, cloud, colocation, managed services and AI infrastructure solutions to governments, public sector organisations, BFSI institutions and enterprises. The company was incorporated in 2005 and has spent more than two decades building its technology and infrastructure capabilities.

The company is currently in the middle of its initial public offering, with a fresh issue of approximately Rs 720 crore. The IPO opened on August 28, 2026 and closes on September 1, 2026, with a price band of Rs 408 to Rs 429 per share. The fresh capital is intended primarily to support the company’s expansion plans.

What makes ESDS particularly interesting is the combination of strong recent financial growth and exposure to some of the fastest growing areas of the digital economy. The bigger question is whether the company can convert its data centre and AI infrastructure opportunity into a sustainable long term compounder.

Business Model

ESDS operates across cloud infrastructure, data centres, managed services and software solutions. The company provides infrastructure and technology services to customers that require secure and reliable computing environments without necessarily building all the infrastructure themselves.

Its data centre business is supported by five Tier III data centres across India, located in Nashik, Navi Mumbai, Bengaluru, Mohali and Noida. These facilities support workloads ranging from shared cloud environments to dedicated infrastructure deployments.

The company also offers AI infrastructure and GPU related services, which could become increasingly important as enterprises and government organisations increase their use of artificial intelligence. This gives ESDS exposure not only to traditional cloud demand but also to the rapidly expanding AI infrastructure market.

The Financial Transformation

The most impressive part of the ESDS story is its recent financial performance. Consolidated revenue increased from approximately Rs 286 crore in FY24 to Rs 361 crore in FY25 and then to Rs 472 crore in FY26. During the same period, profit after tax increased from approximately Rs 14 crore to Rs 56 crore and then to about Rs 121 crore.

The improvement in profitability has been even faster than revenue growth. EBITDA increased from approximately Rs 102 crore in FY24 to Rs 155 crore in FY25 and Rs 234 crore in FY26. EBITDA margin consequently expanded from around 36 percent to almost 50 percent. PAT margin also increased from approximately 5 percent in FY24 to more than 25 percent in FY26.

This operating leverage is one of the strongest aspects of the business. If ESDS can continue increasing revenue without a proportional increase in operating costs, the company could potentially generate strong earnings growth as its infrastructure utilisation increases.

Why AI Could Change the Story

The biggest long term opportunity for ESDS may be the increasing demand for AI computing infrastructure. Artificial intelligence applications require significant computing power, specialised GPUs, storage and high quality data centre infrastructure.

ESDS has been positioning itself around AI infrastructure and GPU as a service in addition to its traditional cloud and data centre operations. This could allow the company to participate in the expansion of India’s AI ecosystem without having to compete directly with software companies developing AI applications.

The opportunity is attractive, but investors should also understand that AI infrastructure requires substantial capital expenditure. GPUs, servers, cooling systems and data centre facilities are expensive. The returns therefore depend on utilisation, pricing and the company’s ability to secure long term customers.

Data Centre Opportunity

India’s data centre market is benefiting from increasing digitalisation, cloud adoption, artificial intelligence, digital payments and data localisation requirements. Governments and enterprises are generating increasing volumes of data, creating demand for secure domestic infrastructure.

ESDS has built its business around this structural trend. Its domestic data centre network gives it an established infrastructure base, while its cloud and managed services offerings allow it to earn recurring revenue from customers using that infrastructure.

The combination of physical infrastructure and technology services is important because it creates multiple revenue opportunities from the same customer relationship.

Management Strategy

Management has been focused on expanding ESDS from a traditional data centre and cloud infrastructure provider into a broader technology infrastructure platform. The company is increasingly targeting AI infrastructure, cloud services and managed technology solutions alongside its established data centre operations.

The IPO is expected to provide additional capital for expansion. This is important because the company’s next phase of growth will require investment in data centre capacity, technology infrastructure and AI related capabilities.

The company also has significant exposure to BFSI, government and enterprise customers. These segments generally have high requirements for security, reliability and compliance, which can create longer term relationships when infrastructure providers successfully meet those requirements.

Competitive Advantage

ESDS has several practical advantages. Its two decades of operating experience, established data centre infrastructure, enterprise relationships and regulatory and security capabilities create barriers for smaller competitors.

Its positioning in India is also relevant because customers in regulated industries often prefer infrastructure providers that understand local compliance requirements and can provide domestic data hosting.

However, the company’s moat should not be considered unbreakable. ESDS competes with larger cloud and data centre companies that have significantly greater financial resources. The company therefore needs to continue investing in technology and infrastructure to remain competitive.

IPO Valuation

The IPO price band is Rs 408 to Rs 429 per share. At the upper price band, ESDS is valued at roughly Rs 5,000 crore based on current market estimates. The FY26 earnings profile is strong, but the valuation already reflects a meaningful amount of future growth.

This makes future execution particularly important.

The company cannot simply maintain its current performance. Investors will expect continued double digit revenue growth, strong margins and increasing earnings. If growth slows significantly after listing, valuation could become a major risk.

The IPO is also entirely a fresh issue, meaning the capital raised goes into the company rather than providing an exit for existing shareholders. That is positive from a capital allocation perspective because the funds can support expansion.

Key Risks

The biggest risk is capital intensity. Data centres and AI infrastructure require significant investment, and returns depend heavily on capacity utilisation. If ESDS expands too aggressively before securing sufficient demand, depreciation and financing costs could affect profitability.

Customer concentration is another risk. The company’s top five customers contribute around one third of revenue and the top ten contribute approximately half, according to recent analysis of the IPO documents. Losing a major customer or experiencing a significant reduction in demand from a large account could therefore affect financial performance.

Technology costs are another concern. GPUs, memory, servers and cooling infrastructure can be expensive and subject to supply and pricing fluctuations. ESDS must continuously invest to keep its infrastructure competitive.

Competition from larger technology and data centre companies is also significant. The company must demonstrate that its specialised Indian market positioning can translate into sustainable competitive advantages.

Growth Opportunity

The long term growth opportunity remains attractive. Cloud adoption in India is still increasing, enterprises are moving more workloads to digital infrastructure and artificial intelligence is creating a completely new category of computing demand.

Government digitalisation and data localisation can further support domestic data centre providers. BFSI companies also require highly secure infrastructure, creating opportunities for specialised providers with strong compliance capabilities.

If ESDS successfully expands its data centre capacity and AI infrastructure while maintaining high utilisation, revenue and profit could compound at attractive rates.

Investment Thesis

ESDS Software Solution is an interesting combination of cloud infrastructure, data centres and AI infrastructure. The company’s recent financial performance is particularly encouraging because revenue has grown strongly while profitability has expanded much faster.

The biggest attraction is the possibility that AI and cloud infrastructure could create a new growth cycle for the business. Its existing data centre network and enterprise customer base provide a foundation from which it can expand into higher value services.

The main concern is that the company operates in a capital intensive industry and the current valuation already assumes substantial future growth. Investors therefore need to monitor capital expenditure, capacity utilisation, customer concentration and cash generation very closely.
