NSE was established in 1992 and has played a major role in transforming India’s securities markets through electronic trading, transparent price discovery and nationwide market access. The exchange operates several important market segments, including equities, equity derivatives, currency derivatives, commodity derivatives and debt-market products.

NSE’s Business Model
NSE generates revenue from several activities connected with financial-market infrastructure. Transaction charges are the largest component, supported by clearing and settlement services, listing services, market data, connectivity and other related activities.

Transaction activity is therefore closely connected with NSE’s financial performance. When trading volumes rise, particularly in derivatives, transaction-related income can increase substantially. Conversely, regulatory changes, lower trading activity or shifts in market structure can affect revenue.
Derivatives have become particularly important to the exchange. However, the concentration also creates a potential risk because regulatory measures affecting derivatives trading can have a significant impact on NSE’s earnings.
At the same time, NSE has been developing other revenue streams. Listing revenue, for example, increased from ₹223 crore in FY2024 to ₹352 crore in FY2026 as India’s IPO and capital-market activity expanded. NSE IPO Financial Performance
NSE enters the IPO market with exceptionally strong profitability and margins compared with most conventional businesses. Revenue from operations increased from ₹14,780 crore in FY2024 to ₹17,141 crore in FY2025 before declining to ₹16,601 crore in FY2026.

Profit after tax increased from ₹8,306 crore in FY2024 to ₹12,188 crore in FY2025, but declined to ₹10,302 crore in FY2026. The FY2026 decline reflects lower market activity and changes affecting derivatives trading, among other factors.

NSE’s operating profitability remains exceptionally high. The operating EBITDA margin was approximately 66.85% in FY2026, while the PAT margin stood at around 50.98%. Return on equity was approximately 32.98%.
However, investors should not look only at the headline profit numbers. FY2026 included a significant gain from the sale of NSE’s stake in NSDL. Therefore, the quality and sustainability of recurring earnings should be considered alongside reported PAT when assessing valuation.
The exchange has also reported strong recent quarterly performance. In the June 2026 quarter, revenue from operations increased 13% year-on-year to approximately ₹4,560 crore, while consolidated PAT rose 7% to ₹3,120 crore.

NSE IPO Offer for Sale
Unlike many IPOs that raise new capital for expansion, the NSE issue is structured as an offer for sale.
This means NSE will not receive the IPO proceeds. Instead, existing shareholders will sell part of their holdings to public investors. Major shareholders associated with the offering include institutions such as State Bank of India, Morgan Stanley-linked MS Strategic, Canada Pension Plan Investment Board, Bank of Baroda and public-sector insurance companies.

NSE IPO Valuation
Valuation will be one of the most important factors for investors.
The reported ₹1,700–₹1,785 price band would imply a valuation of roughly ₹4.4 lakh crore at the upper end. This is significantly below the valuation that had been discussed when the IPO was initially expected to be priced around ₹2,000–₹2,100.
The lower valuation reflects changing market conditions, regulatory developments affecting derivatives and the fact that NSE’s FY2026 profit declined from the previous year. NSE’s grey market premium has attracted considerable attention because of the large gap between reported unlisted-market prices and the proposed IPO price.
However, GMP figures for NSE should be treated cautiously. The unlisted market has reportedly valued NSE shares around ₹2,000–₹2,100, while the reported IPO price band is ₹1,700–₹1,785. This difference has contributed to strong market interest, but unlisted-market prices can change rapidly and do not guarantee the listing price.
For a company of NSE’s size, valuation and regulatory importance, fundamentals are more important than short-term grey-market expectations.
Competitive Strengths of NSE

NSE also benefits from substantial technological infrastructure, established relationships with trading members and a large ecosystem of brokers, institutions and investors.
Its extremely high operating margins and strong cash generation provide another important advantage. The exchange can generate significant profits without requiring the type of physical capital investment associated with traditional businesses.
Key Risks for Investors
The biggest risk for NSE is regulatory dependence. Stock exchanges operate in a heavily regulated environment, and changes in derivatives rules, transaction taxes, trading incentives or market structure can materially affect trading volumes and revenue.

The importance of derivatives creates an additional concentration risk. NSE has generated a large proportion of its revenue from derivatives-related activity, meaning regulatory changes or declining derivatives participation could have a disproportionate effect on earnings.
Revenue concentration among trading members is another risk. NSE disclosed that its top 10 trading members accounted for 46.78% of revenue from operations in FY2026, compared with 44.48% in FY2025 and 45.26% in FY2024. The National Stock Exchange IPO is unusual because investors are not simply buying into another listed company. They are gaining exposure to one of the most important pieces of India’s financial-market infrastructure.
