The current IPO structure is smaller than the proposal contained in the company’s earlier draft prospectus. The final issue consists of a fresh issue of ₹320 crore and an offer for sale of 2.62 crore equity shares by Katsura Investments, valued at approximately ₹388.02 crore at the upper end of the price band. The company had earlier proposed a ₹400 crore fresh issue and a larger OFS, but those terms were subsequently reduced.

Varmora Granito, incorporated in 2003, operates in the ceramic and surface-solutions industry. Its product portfolio includes ceramic tiles, glazed vitrified tiles, polished vitrified tiles, slabs, stone products, bathware, sanitaryware and tile adhesives. The company has also developed integrated stone technology and has expanded its manufacturing capabilities in Morbi. According to the company’s website, Varmora’s products are exported to more than 100 countries.

The company operates eight manufacturing facilities and has developed a sizeable distribution network in India. Its domestic business is divided between B2C retail and B2B sales. During FY26, the B2C retail channel contributed approximately 66.8% of domestic sales, while B2B customers, including architects, builders, contractors and government-related customers, contributed around 33.2%. This gives the company exposure to both consumer-driven retail demand and construction and project activity.

Varmora also has a significant branded retail presence. Its network includes exclusive brand outlets and a large number of multi-brand outlets across India. The company competes with established listed ceramic and tile manufacturers such as Kajaria Ceramics, Somany Ceramics, Asian Granito India and Orient Bell.

Varmora Granito’s financial performance improved significantly in FY26, particularly at the profit level. Revenue from operations increased 3.7% to approximately ₹1,361.6 crore in FY26 from ₹1,312.8 crore in FY25. Profit after tax increased to approximately ₹58.4 crore from ₹28.8 crore in the previous financial year, representing growth of more than 100%.

A substantial portion of the proceeds is proposed to be used for repayment or prepayment of outstanding borrowings, while the remaining funds are intended for general corporate purposes.
