Persistent Systems: Why Investors Should Watch Nagarro Integration

Persistent Systems’ proposed Nagarro acquisition has moved from announcement to majority ownership, but the next investor test will come after closing: can Persistent bring the German technology-services company into the group without disturbing client relationships, margins or its own growth record? That is why Nagarro integration deserves close attention, even though the transaction is still awaiting final steps.

The takeover offer is advanced, but the deal is not yet closed

Persistent’s takeover offer secured about 94.04% of Nagarro’s share capital and voting rights, excluding treasury shares, after the additional acceptance period ended on October 6. Persistent has said the transaction is expected to close by the end of the first quarter of calendar 2027, subject to remaining regulatory approvals. The stake secured is a major milestone, but it does not mean the companies have already been combined. Operational integration will become a central test once the acquisition closes.

The strategic case rests on scale and complementary capabilities

Nagarro reported around €1 billion in revenue for calendar 2025 and has about 18,500 employees across more than 40 countries. Persistent says the combined group could have a revenue run-rate of roughly $2.9 billion and more than 46,000 employees. The rationale is broader geographic reach, particularly in Europe, along with additional digital engineering, artificial intelligence, enterprise resource planning and customer experience capabilities. The deal could also give Persistent a larger base from which to serve multinational clients.

Those projections show scale, not value creation. Investors will need to see cross-selling translate into signed contracts, repeat business and profitable growth.

People and client continuity will be critical

Technology-services businesses depend heavily on skilled employees and long-standing client relationships. Nagarro’s engineering teams and local presence across Europe are part of the value Persistent is seeking. A poorly managed transition could prompt staff departures or unsettle customers, weakening the very capabilities the acquisition is meant to add. Persistent has indicated that it intends to preserve Nagarro’s leadership and culture. Investors can assess that commitment over time through employee retention, stable delivery and client renewals.

A broader platform could unlock new work, but integration must preserve account ownership, delivery teams and clear accountability. Renewals and staff retention will test whether that happens.

Acquisition costs are already visible in Persistent’s results

Persistent’s Q2 FY27 revenue rose 20% year on year to $487.6 million, while revenue in rupees increased 30.3% to ₹4,663.9 crore. Reported net profit, however, fell 25.4% to ₹351.51 crore. The company attributed the decline mainly to ₹185.34 crore of one-time transaction expenses connected with Nagarro. Operating profit after tax, which excludes those expenses, grew 5% to ₹495.15 crore. These measures show both the company’s underlying growth and the near-term cost of pursuing the deal.

Management said it expected a further $25 million to $30 million in Nagarro-related transaction expenses over the next two quarters, within an estimated $50 million spread across three to four quarters. Investors should distinguish these costs from ongoing integration expenses, which may emerge after closing. They will also watch Persistent’s EBIT margin, which was 15% in Q2, as wage costs, utilization and delivery investments affect profitability.

Funding, dilution and debt reduction matter after closing

Persistent shareholders approved an equity raise of up to $450 million, with total equity and borrowings capped at $1.25 billion for the transaction. The equity component may dilute existing shareholders depending on the final issue size and price; borrowing creates interest and repayment obligations. Persistent has said leverage should remain within conservative limits and meaningfully decline over two years after the acquisition. Investors will look for clear updates on funding, cash generation and the pace of debt reduction.

What investors should track in upcoming quarters

After closing, the most useful signals will include Nagarro’s contribution to revenue and profit, Persistent’s margins, employee attrition, major client renewals, cross-sold contracts and acquisition-related cash costs. Reported growth could rise simply because Nagarro is included in the consolidated numbers, so investors will need enough disclosure to judge the performance of the existing business and the acquired business separately. Order bookings and cash conversion will help show whether expansion is translating into durable demand.

The strategic opportunity is substantial, but so is the execution task. Persistent has secured a strong majority stake and laid out a plan to combine complementary businesses. The investment case will depend on completing the transaction, retaining Nagarro’s people and clients, managing financing costs and proving that the larger platform can grow profitably. Until those results appear, integration remains a key uncertainty for Persistent Systems investors.
